1. Acceptance of Terms
By accessing or using melodara ("the Service"), operated by Mayfaire Row LLC, a New Jersey limited liability company ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Service. We may update these Terms at any time by posting a revised version. Your continued use of the Service after any changes constitutes acceptance.
2. Description of Service
melodara is a web-based lyric writing studio that provides tools for songwriters including rhyme suggestions, chord annotations, voice memos, music tools, AI-assisted co-writing, cloud storage, version history, and export capabilities. The Service is available as a progressive web app (PWA) compatible with all modern browsers on desktop and mobile, including macOS, Windows, iOS, and Android.
3. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or legal guardian's permission. By using the Service you represent and warrant that you meet these requirements.
4. Your Content & Intellectual Property
You retain full ownership of all lyrics, songs, melodies, and creative content you create using the Service. We do not claim any intellectual property rights over your content. We will never use your content to train AI models without your explicit written consent.
By marking a song as "public," you grant melodara a limited, non-exclusive license to display that song on the Explore page. You may revoke this license at any time by setting the song back to private.
5. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate, current information when creating an account.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately of any unauthorized use of your account.
6. Acceptable Use
You agree not to:
- Upload content that is unlawful, harmful, threatening, abusive, or defamatory.
- Attempt to disrupt, overload, or interfere with the Service's infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated tools (bots, scrapers) to access the Service or harvest other users' content.
- Impersonate another person or entity.
- Use the Service for commercial spam or unauthorized advertising.
7. Subscriptions & Payments
The Service offers free and paid subscription tiers (Pro, Studio). Paid subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize recurring charges until you cancel. You may cancel at any time through your account settings or the Stripe customer portal — cancellation takes effect at the end of the current billing period.
Prices may change with 30 days' notice. Existing subscribers will be notified via email before any price changes take effect.
8. Refund Policy
Our commitment to fair refunds:
- Within 7 days of first payment: Full refund, no questions asked. If the Service isn't right for you, we'll refund your payment in full.
- After 7 days: Pro-rated refunds may be issued at our discretion for unused portions of the billing period.
- Annual plans: Full refund within 14 days of purchase. After 14 days, you may cancel and retain access until the end of the billing period.
- Technical issues: If a Service outage or bug prevents you from using paid features for more than 48 consecutive hours, you are entitled to a pro-rated credit.
To request a refund, contact us at support@melodara.app or through the in-app support channel. Refunds are processed within 5–10 business days.
9. Free Trial
We may offer free trials for paid plans. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. We will notify you before charging.
10. DMCA & Copyright
We respect intellectual property rights. If you believe content on the Service infringes your copyright, please send a DMCA takedown notice to dmca@melodara.app with:
- Identification of the copyrighted work.
- Identification of the infringing material and its location on the Service.
- Your contact information and a statement of good faith belief.
- Your physical or electronic signature.
We will respond to valid notices within 72 hours and remove infringing content promptly.
11. Service Availability & Uptime
We aim for 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance.
12. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, with notice where practicable. You may delete your account at any time through your profile settings. Upon account deletion, your data will be permanently removed within 30 days, except where retention is required by law.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or content, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless melodara, Mayfaire Row LLC, and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.
15. Dispute Resolution
Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation by contacting us at support@melodara.app. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
